Terms of Use

1. Who we are and what this covers

edimulo is a streaming service offering film, series, documentary and live channel programming from across Africa. edimulo is operated by [registered entity name], a company registered in [country of incorporation] under number [registration number], with its registered office at [registered address] ("edimulo", "we", "us", "our"). edimulo is a Beauld company.

These Terms of Use (the "Terms") form a binding agreement between you and edimulo governing your access to and use of the edimulo website, applications, and any related services (together, the "Service").

Our Privacy Policy and Cookie Policy are incorporated into these Terms by reference. Where you subscribe to a paid plan, the plan details presented at the point of purchase also form part of this agreement.

2. Accepting these Terms

By creating an account, subscribing, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "you" means that organisation.

3. Eligibility and age requirements

• You must be at least [18] years old to create an account and to hold a payment method on the Service.
• Members of your household who are under that age may use the Service only under the supervision of the account holder, and only through a profile with an appropriate maturity setting.
• The account holder is responsible for all activity on every profile within the account, including viewing by minors.
• Some titles carry maturity ratings. Ratings are guidance, not a guarantee, and are applied on a best-efforts basis. Parents and guardians should use the Kids profile and any available parental controls.

4. Your account

4.1 Registration

You must provide accurate, current and complete information when you register, and keep it up to date. You may create profiles within your account for members of your household.

4.2 Keeping your account secure

You are responsible for keeping your password confidential and for all activity that occurs under your account. To protect your account you should use a strong, unique password, never share your credentials, and sign out on shared devices. Tell us immediately at security@edimulo.com if you believe your account has been accessed without your permission.

4.3 Household use

An edimulo account is for you and the people you live with. It is not for sharing beyond your household. We may limit the number of profiles, the number of devices, and the number of simultaneous streams according to your plan, and may use technical measures to verify that an account is being used within a single household.

4.4 Closing your account

You may close your account at any time from your account settings or by contacting us. Closure takes effect at the end of your current billing period unless we agree otherwise or the law requires otherwise.

5. Membership, billing and cancellation

Some parts of the Service are free; others require a paid membership. Where you take a paid membership, the following apply.

5.1 Billing cycle

Membership fees and any applicable taxes are charged to your payment method on the billing date shown in your account. Billing recurs on the same cycle (for example monthly) until you cancel. Prices are stated in [currency] unless indicated otherwise.

5.2 Payment methods

You authorise us, and our payment processors, to charge your payment method for amounts due. If a payment fails, we may retry, suspend your membership, or ask you to update your details. You remain responsible for any uncollected amounts.

5.3 Free trials and promotions

We may offer free trials or promotional pricing. Unless we say otherwise, a trial converts to a paid membership at the end of the trial period and your payment method is charged. You can cancel before the trial ends to avoid being charged. Eligibility for trials and promotions is at our discretion and limited to one per household unless stated otherwise.

5.4 Price changes

We may change prices and plans. We will give you at least [30] days' notice by email before a price change affects you, and the change will take effect from your next billing period. If you do not accept the change, you may cancel before it takes effect.

5.5 Cancellation and refunds

You may cancel at any time. Cancellation takes effect at the end of the current billing period and you keep access until then. Except where the law gives you a right to a refund, payments are non-refundable and we do not provide refunds or credits for partial periods, or for periods in which you did not watch anything. Nothing in this section limits any statutory cancellation or cooling-off right you may have under the consumer law of your country of residence.

6. The Service

6.1 Your licence to watch

Subject to these Terms and to your membership being in good standing, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and stream content on the Service for your own private, non-commercial viewing. No other right is granted.

6.2 The catalogue changes

Content on edimulo is licensed to us, often for a limited period and for limited territories. Titles may be added or removed at any time without notice, and availability varies by country. We do not guarantee that a particular title will be available when you want to watch it, or that it will remain available.

6.3 Quality and devices

Video quality depends on your device, your connection and your plan. We may adjust streaming quality automatically to suit available bandwidth. You are responsible for your own internet access and any data charges. Supported devices change over time and we may end support for a device.

6.4 Recommendations

We personalise what you see based on what you and your profiles watch, save and search for. This is described in our Privacy Policy.

6.5 Live channels

Live channels follow a published schedule that may change without notice. Programmes may be pre-empted, delayed or substituted.

6.6 Changes to the Service

We are continually developing edimulo. We may add, change, suspend or withdraw features, plans, and parts of the Service. Where a change materially reduces what you have paid for, we will give you reasonable notice and, where appropriate, the option to cancel.

7. Things you must not do

You must not, and must not attempt to, and must not permit anyone else to:

• copy, record, download (other than through a download feature we provide), reproduce, broadcast, publicly perform or publicly display any content from the Service;
• redistribute, resell, sublicense, rent or otherwise commercially exploit the Service or any content on it, including screening it in a public or commercial venue;
• circumvent, remove, disable or interfere with any content protection, geographic restriction, watermark, rights management or security feature;
• use any robot, scraper, crawler or automated means to access, index or harvest the Service or its content;
• reverse engineer, decompile or disassemble any part of the Service, except to the extent that this restriction is prohibited by law;
• use a VPN, proxy or other method to misrepresent your location in order to access content not licensed for your territory;
• share, sell or publish account credentials, or use an account you are not authorised to use;
• upload or transmit malware, or otherwise interfere with, overload or disrupt the Service or the networks it runs on;
• use the Service for any unlawful purpose, or in breach of any applicable export, sanctions or content law.

Content on edimulo is protected by copyright and other laws. Unauthorised copying or distribution may result in civil and criminal liability.

8. Intellectual property

The Service, and all content, software, design, artwork, trade marks and other material on it, are owned by edimulo or our licensors and are protected by intellectual property laws. "edimulo", the edimulo sunrise mark and the edimulo wordmark are trade marks of [registered entity name]. Nothing in these Terms transfers any ownership to you.

You may not use our trade marks without our prior written permission.

9. Content you provide

If you submit reviews, ratings, feedback, suggestions or other material to us, you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable licence to use, reproduce and adapt it in connection with operating and improving the Service. You confirm that you have the right to give us that licence and that the material is not unlawful or infringing.

Producers and studios submitting titles to edimulo do so under a separate Content Partner Agreement, not under these Terms.

10. Copyright complaints

We respect intellectual property rights and expect our users to do the same. If you believe material on edimulo infringes your copyright, send a notice to copyright@edimulo.com including:

1. your name, address and contact details;
2. identification of the work you say has been infringed;
3. identification of the material on edimulo and where it can be found;
4. a statement that you believe in good faith that the use is not authorised by the rights holder or the law;
5. a statement that the information in your notice is accurate, and that you are the rights holder or authorised to act for them;
6. your signature (electronic is acceptable).

We will investigate, and may remove or disable access to material while we do so. We may terminate the accounts of repeat infringers.

11. Suspension and termination

We may suspend or terminate your account or your access to the Service, with or without notice, if:

• you materially breach these Terms;
• we are required to do so by law or by a rights holder;
• your payment method fails and the balance remains unpaid;
• we reasonably suspect fraud, unauthorised access, or misuse of the Service.

Where the breach is capable of being remedied and the circumstances allow, we will normally contact you first and give you an opportunity to put it right. If we terminate without cause, we will refund any prepaid amount covering the period after termination.

12. Availability and disclaimers

We work to keep edimulo available and working properly, but we do not promise that the Service will be uninterrupted, error-free, secure, or free from viruses, or that defects will be corrected. Maintenance, network problems, and events outside our control can all interrupt the Service.

To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we exclude all warranties, conditions and terms implied by statute or common law. Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited, including your rights under applicable consumer protection law.

13. Our liability to you

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to that:

• we are not liable for loss of profit, loss of business, loss of data, loss of goodwill, or any indirect or consequential loss;
• our total liability to you arising out of or in connection with the Service in any twelve-month period is limited to the greater of the amount you paid us for the Service in that period, or [amount];
• we are not responsible for content, sites or services operated by third parties that you reach from the Service.

14. Your liability to us

You agree to indemnify us against any claims, losses, liabilities and reasonable costs we incur arising from your breach of these Terms, your misuse of the Service, or your infringement of anyone else's rights. This does not apply to the extent the claim arises from our own breach or negligence.

15. Changes to these Terms

We may update these Terms. If a change materially affects your rights or obligations, we will give you at least [30] days' notice by email or in the Service before it takes effect. Continuing to use edimulo after that date means you accept the updated Terms. If you do not accept them, you may cancel your membership.

We keep the version number and effective date at the top of this page so you can see what has changed and when.

16. Governing law and disputes

These Terms, and any dispute arising out of or in connection with them or the Service, are governed by the laws of [governing law jurisdiction], and the courts of [jurisdiction] have exclusive jurisdiction — except that, if you are a consumer, you keep the benefit of any mandatory protections and the right to bring proceedings in the courts of your country of residence where the law gives you that right.

17. General

• Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy and your plan details, are the entire agreement between us about the Service.
• Severability. If any provision is found unenforceable, the rest continues in force.
• No waiver. If we do not enforce a right, that is not a waiver of it.
• Assignment. You may not transfer your rights under these Terms. We may assign ours to an affiliate or in connection with a reorganisation or sale of the business, provided your rights are not reduced.
• Force majeure. Neither party is liable for failures caused by events beyond its reasonable control.
• Notices. We will contact you at the email address on your account. Contact us at legal@edimulo.com or at the registered address above.
• Language. These Terms are provided in English. Where we supply a translation, the English version prevails in the event of a conflict.
